These Terms of Service ("Terms") constitute a legally binding agreement between you and Stratoscan AI Inc. ("Stratoscan AI," "we," "us," or "our") governing your access to and use of the website located at stratoscan.ai, our software, APIs, dashboards, reports, and related services (collectively, the "Service").
By accessing or using the Service, creating an account, or submitting an order, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.
Stratoscan AI provides an AI-powered business audit platform that analyzes data and materials you authorize us to access in order to produce insights, risk assessments, recommendations, and reports tailored to your organization. Features and deliverables depend on the plan you select.
We currently offer three commercial tiers—Basic, Standard, and Premium—which differ in scope, depth, turnaround time, integrations, and support as described on our pricing page. We may modify, add, or retire features or tiers with reasonable notice where required, provided that prepaid services you have already purchased will be honored according to the terms in effect at the time of purchase unless we agree otherwise.
To use certain parts of the Service, you must register for an account and provide information that is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use or security breach.
You may not share your account with third parties except as expressly permitted in writing (for example, designated teammates within your organization where the product supports it). You are responsible for ensuring that anyone who uses the Service through your account complies with these Terms.
Audit fees are generally charged as one-time payments for the scope of work described at checkout or in your order confirmation. All amounts are stated and charged in U.S. dollars (USD) unless we expressly agree otherwise in writing. Payments are processed through our payment processor, currently Stripe; your use of payment services may be subject to Stripe's terms and privacy policy.
Fees are non-refundable once we have delivered the applicable audit report or other primary deliverable for your engagement, except as required by law. If you cancel before we begin substantive audit work, you may request a full refund within fourteen (14) days of payment; after that window, or once work has materially commenced, fees may be non-refundable or subject to a reasonable cancellation charge as stated in your order.
You are responsible for any taxes applicable to your purchase, other than taxes based on our net income. Failure to pay may result in suspension or termination of access to deliverables or the platform.
Stratoscan AI and its licensors own all right, title, and interest in and to the Service, including software, models, user interface, branding, documentation, and aggregated anonymized learnings, subject to your rights in your own data. Except for the limited rights expressly granted in these Terms, no license is granted to you under any patent, copyright, trademark, trade secret, or other intellectual property right.
Audit reports, dashboards, and related outputs generated specifically for you are licensed to you for your internal business purposes, including sharing with your advisors and investors as you deem appropriate, but not for resale, public redistribution, or use to develop a competing automated audit product without our prior written consent. You retain all ownership of your business data and materials that you provide to us; we do not acquire ownership of your confidential information.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that we will process personal data as described there.
You grant Stratoscan AI a non-exclusive, worldwide license to host, process, analyze, and display your Client Data solely to provide the Service, improve security and reliability, and comply with law. You represent that you have all rights and consents necessary to provide Client Data to us and that doing so does not violate any agreement or obligation owed to a third party.
You agree not to misuse the Service. Without limitation, you must not:
We may investigate violations and cooperate with law enforcement as appropriate. We may suspend or terminate access for conduct we reasonably believe violates these rules or creates risk or legal exposure.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATOSCAN AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AUDIT OUTPUTS WILL MEET YOUR BUSINESS OBJECTIVES OR COMPLY WITH ANY SPECIFIC REGULATORY OR ACCOUNTING STANDARD UNLESS EXPRESSLY SET FORTH IN A SEPARATE SIGNED AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STRATOSCAN AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STRATOSCAN AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT PAID FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Stratoscan AI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Client Data or your violation of third-party rights; (c) your breach of these Terms; or (d) your violation of applicable law. We may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defense.
Either party may terminate these Terms at any time by closing your account or by written notice if no ongoing paid engagement exists. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay amounts due, or if we are required to do so by law.
Upon termination, your right to use the Service ceases. We will return or delete your Client Data in accordance with our Privacy Policy and any applicable order, typically within thirty (30) days, subject to legal retention requirements. Provisions that by their nature should survive—including intellectual property, disclaimers, limitation of liability, indemnification, and governing law—will survive termination.
These Terms and any dispute arising out of or related to them or the Service shall be governed by the laws of the State of California, without regard to its conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, for any action arising from or relating to these Terms, subject to any right you may have under mandatory consumer protection laws in your country of residence.
